§ 1 Scope
These general terms and conditions apply to all contracts between Stapf — Holger-Steffen Stapf (hereinafter "contractor") and its customers regarding the planning, supply, installation, commissioning and maintenance of photovoltaic systems, battery storage, charging infrastructure and related services.
Deviating conditions of the customer are not recognised unless the contractor expressly agrees to them in writing.
§ 2 Conclusion of contract
Offers from the contractor are non-binding unless they are expressly marked as binding. A contract is only concluded upon written order confirmation by the contractor or by the start of performance.
§ 3 Scope of services
The scope of services results from the written offer or order confirmation. Deviations that are technically necessary or economically reasonable remain reserved and will be communicated to the customer in good time.
§ 4 Prices and payment terms
The prices stated in the offer apply plus statutory VAT. Unless otherwise agreed, payments are due as follows: 30% on order placement, 60% on material delivery, 10% after commissioning.
Payments are due within 14 days without deduction to the account specified in the offer.
§ 5 Delivery and execution times
Deadlines are only binding if they have been confirmed as binding in writing. Delivery and execution periods are extended appropriately in cases of force majeure, supply bottlenecks or official delays (e.g. grid connection).
§ 6 Customer's obligations to cooperate
The customer shall provide all the prerequisites necessary for the execution in good time, in particular access to the construction site, electricity and water supply as well as all necessary permits, insofar as these are not expressly obtained by the contractor.
§ 7 Warranty
Statutory warranty provisions apply unless otherwise stipulated below. The warranty period for defects in the installation is 5 years. Manufacturer warranties for modules, inverters and storage systems apply additionally according to the respective manufacturer's terms.
§ 8 Liability
The contractor is liable without limitation in cases of intent and gross negligence as well as for damages resulting from injury to life, body or health. Otherwise, liability is limited to foreseeable, contract-typical damage.
§ 9 Retention of title
Until full payment, delivered components remain the property of the contractor, insofar as this is legally permissible after installation in real estate.
§ 10 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of performance and — to the extent legally permissible — place of jurisdiction is the contractor's registered office. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
